The Seller shall be liable for any damage of the commodity due to improper packing and for any rust attributable to inadequate protective measures in regard to the packing.

One full set of service and operation manual shall be enclosed in each case.

The Seller shall mark on each package with fadeless paint the package number, gross weight, net weight, measurement and warnings such as “HANDLE WITH CARE”, “KEEP AWAY FROM HEAT”, “KEEP AWAY FROM MOISTURE” as well as shipping mark.

9. Payment, under conditions (1), (2) and (3) below:

The Buyer, on receipt from the Seller of the delivery advice, shall open an irrevocable letter of credit with the Bank of China, in favor of the Seller for the total value of shipment 25 – 30 days prior to the date of delivery. The credit shall be available against Seller‘s draft drawn at sight on the opening bank for 100% invoice value accompanied by the shipping documents specified in Clause 10 hereof. Payment shall be effected by the opening bank by telegraphic transfer against presentation of the aforesaid draft and documents. The letter of credit shall be valid until the 20th day after the shipment is effected.
買方收到賣方交貨通知,應(yīng)在交貨日期前25 – 30 天,由中國銀行開出以賣方為受益人的與裝運金額相同的不可撤銷的信用證。賣方須向開證行出具100%發(fā)票金額即期匯票并附本合同第10款所規(guī)定的裝運單據(jù)。開證行收到上述匯票和裝運單據(jù)即予以電匯支付。信用證于裝運日期后20天內(nèi)有效。

The Seller may present the sight draft together with the shipping documents (specified in Clause 10 hereof) through the Seller‘s bank and Buyer’s Bank to the Buyer for collection after shipment.
貨物裝運后, 賣方出具即期匯票,連同本合同第10款規(guī)定的裝運單據(jù),通過賣方所在地銀行和買方銀行提交給買方托收。
(3) By direct remittance:

Payment shall be effected by the Buyer, by telegraphic transfer, within 7 (seven) days after receipt from the Seller of the shipping documents specified in the Clause 10 hereof.

Full set of clean bills of lading marked “Freight to Collect”, “Freight Prepaid” made out to bank endorsed notifying Zhonghua International Technology Development Corporation at the port of destination.
全套清潔海運提單,標(biāo)明“運費付訖”,“運費預(yù)付”,做成空白背書并注明通知目的港的中華國際技術(shù)開發(fā)公司。
(2) In case of air-freight:

One copy of airway bill marked “Freight to Collect”, Freight Prepaid“ and sent to the Buyer.
空運提單副本一份,標(biāo)明“運費付訖”,“運費預(yù)付”,寄交買方。
(3) Invoice in 4 copies indicating contract number and shipping mark, made out in details as per the contract concerned.
(3)發(fā)票一式4份,標(biāo)明合同號和裝運標(biāo)志,發(fā)票根據(jù)有關(guān)合同詳細填寫。
(4) Packing list in 2 copies issued by the manufacturer.

(5) Certificate of quality and quantity issued by the manufacturer.

(6) The Buyer shall be advised by mail/cable immediately after shipment.

In addition, the Seller shall, within 10 (ten) days after shipment, send by airmail two sets of aforesaid documents (except item 4) with one set directly to the Buyer and one set directly to Zhonghua International Technology Development Corporation at the port of destination.
此外,發(fā)貨10天內(nèi),賣方將上述單據(jù)(第5條除外)航寄兩份,一份直接給買方,一份直接給目的港的中華國際開發(fā)公司。
11. Shipment
11、裝運
(1) In case of FOB terms
(1) 離岸價格條款(FOB條款)
a. The Seller shall, 30days before the contracted date of shipment, advise the Buyer by cable or letter of the contract number, name of commodity, quality, value, package number, gross weight, measurement and date of readiness at the port of shipment for the Buyer to book shipping space.
1)賣方于合同規(guī)定的裝運日期前30天,用電匯或信件將合同號、品名、數(shù)量、價值、箱號、毛重、裝箱尺寸和貨物抵裝運港日期通知買方,以便買方租船訂艙。
b. Booking of shipping space shall be arranged by the Buyer‘s shipping agent, China Ocean Shipping Agency.
2)買方船運中國外輪公司,負責(zé)辦理租船訂艙事宜。
c. The Buyer‘s shipping agent (China Ocean Shipping Agency) shall send to the Seller notice indicating the name of vessel, estimated date of loading and contract number for the Seller to arrange shipment 10 (ten) days before the estimated date of arrival of the vessel at the loading port. The Seller is requested to get in close contract with the shipping agent. When it becomes necessary to change the carrying vessel or to advance or delay the arrival date, the Buyer or the shipping agent shall advise the Seller in time. Should the vessel fail to arrive at the loading port within 30 (thirty) days after the arrival date advised by the Buyer, the Buyer shall bear the storage and insurance expenses incurred from the 30 day thereafter.
3)買方船運(中國外輪公司)預(yù)計船抵達裝運港10天之前,將船名、預(yù)計裝貨日期、合同號等通知賣方,以便賣方安排裝運。要求賣方與船運保持密切聯(lián)系。當(dāng)需要更換承運船只及船只提前、推遲抵達時,買方或其船運應(yīng)及時通知賣方。如船在買方通知日后30天內(nèi)未能到達,則第30天后倉儲費和保險費用由買方承擔(dān)。
d. The Seller shall be liable for any dead freight or demurrage, should it happen that they have failed to have the commodity ready for loading after the carrying vessel has arrived at the port of shipment on time.
4)如承運船如期抵達裝運港,賣方因備貨未妥而影響裝船,則空艙費和滯期費均由賣方承擔(dān)。
e. The Seller shall bear all expenses and risks before the commodity passes over the vessel‘s rail and is released from the tackle. After it has passed over the vessel’s rail and is released from the tackle, all expenses and risks shall be in Buyer‘s account. 5)貨物超過船舷并從吊鉤卸下前,一切費用和風(fēng)險由賣方承擔(dān);貨物超過船舷并從吊鉤卸下,一切費用和風(fēng)險由買方承擔(dān)。
(2) In case of CFR terms
(2)成本加運費價條款(CFR條款)
a. The Seller shall ship the goods within the shipment time from the loading port to the port of destination. Transshipment is not allowed.
1) 在裝運期內(nèi),賣方負責(zé)將貨物從裝運港裝運至目的港。不得轉(zhuǎn)船。
b. In case the goods are to be dispatched by air freight, the Seller shall, 30 (thirty) days before the time of delivery as stipulated in Clause 5, inform the Buyer by cable or letter of the estimated date of delivery, contract number, name of commodity, and invoiced value. The Seller shall, immediately after dispatch of the goods, advise the Buyer by cable or letter of the contract number, name of commodity, invoiced value and date of dispatch for the Buyer to arrange the insurance in time.
2) 貨物空運時,賣方于本合同第5條規(guī)定的交貨日期前30天,以電報或信件把預(yù)計交貨期合同號、品名、發(fā)票金額等通知買方。發(fā)貨后,賣方立即以電報或信件將合同號、品名、發(fā)票金額、發(fā)貨日期通知買方,以便買方及時投保。
12. Shipping advice

The Seller shall, immediately on the completion of the loading of the goods, advise the Buyer by cable or letter of the contract number, name of commodity, quantity, invoiced value, gross weight, name of vessel and date of sailing. In case the Buyer fails to arrange insurance in time due to the Seller‘s not having cabled in time, all losses shall be borne by the Seller.
貨物一俟全部裝船,賣方應(yīng)即將合同號、呂名、數(shù)量、發(fā)票金額、毛重、船名及啟航日期用電報或信件通知買方。如因賣方未能及時通知致使買方不能及時投保,賣方則承擔(dān)全部損失。
13. Guarantee of quality
13、質(zhì)量保證
The Seller guarantees that the commodity hereof is made of the best materials with first class workmanship, brand new, unused, and complies with the quality and specifications stipulated in this contract. The guarantee period shall be 12 (twelve) months staring from the date on which the commodity arrives at the port of destination.
賣方保證:所供貨物由的材料及精湛工藝制成,商標(biāo)為新的和未經(jīng)使用的,其質(zhì)量和規(guī)格符合本合同所做的說明。自貨物到達目的港起12個月為質(zhì)量保證期。
14. Claims
14、索賠
Except those claims for which the insurance company or the owners of the vessel are liable, should the quality, specifications or quantity be found not in conformity with the stipulations of the contract, within 90 (ninety) days after the arrival of the goods at destination, the Buyer can use the Inspection Certificate issued by China National Import and Export Commodities Inspection Corporation to claim for replacement as compensation. All the expenses incurred (such as inspection charges, freight charges for returning and sending of replacement, insurance premium, storage, loading and unloading charges) shall be borne by the Seller.
自貨物到達目的港起90天內(nèi),如發(fā)現(xiàn)貨物質(zhì)量、規(guī)格、數(shù)量與合同規(guī)定不符,除那些應(yīng)由保險公司或由船方承擔(dān)的部分外,買方可憑中國進出口商品檢驗總公司出具的商檢證書,有權(quán)要求更換或索賠。
In regard to quality, the Seller shall guarantee that if, within 12 (twelve) from the date of arrival of the goods at destination, damages occur in the course of operation by reason of inferior quality of material or bad workmanship, the Buyer shall immediately notify the Seller in writing and put forward a certificate issued by the CCIC. The certificate so issued shall be accepted as the base of the claim. The Seller, in accordance with the Buyer‘s claim, shall be responsible for the immediate elimination of the defects, complete or partial replacement of the commodity, or devaluate the commodity according to the state of defects. Where necessary, the Buyer may eliminate the defects themselves at the Seller’s expenses. If the Seller fails to reply within on month after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Seller.
賣方保證,貨物到達目的港12個 月內(nèi),如果使用過程中由于材料質(zhì)量低劣和工藝不佳而出現(xiàn)的損壞,買方立即以書面形式通知賣方并出具中國進出口商品檢驗總公司開列的檢驗證書,提出索賠。商 檢證書為索賠的依據(jù)。按買方索賠要求,賣方有責(zé)任立即排除貨物的缺陷、全部或部分更換或根據(jù)缺陷情況將貨物作降價處理。
15. Force Majeure
15、不可抗力
The Seller shall not be held responsible for delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading. The Seller shall advise the Buyer of the occurrence mentioned above within 15 (fifteen) days and send by airmail a certificate of the incident issued by the local government to the Buyer. Even in such cases, the Seller is still liable to take all possible measures to expedite the delivery of goods.
在貨物制造和裝運過程中,由于發(fā)生不可抗力事故致使延期交貨或不能交貨,賣方概不負責(zé)。賣方在不可抗力事件發(fā)生后,應(yīng)立即通知買方并在事發(fā)14天內(nèi),將事故發(fā)生所在地*簽發(fā)的證書航空郵寄給買方以作證據(jù)。即使在此情況下,賣方仍有責(zé)任采取必要的措施,盡快交貨。
Should the Seller fails to perform the contracted obligations 10 (ten) weeks after the aforesaid incident, the Buyer shall have the right to treat the contract as null and void.
不可抗力事故發(fā)生后超過10個星期而合同尚未履行完畢,買方有權(quán)撤銷合同。
16. Late delivery and penalty
16、合同延期和罰款
Should the Seller fail to make delivery within the contracted period for reasons other than Force Majeure specified in Clause 15 hereof, the Buyer may accept the postponement on condition that the Seller agrees to pay a penalty which shall be deducted by the paying bank from the agreed amount of payment. The penalty, however, shall not exceed 5% (five percent) of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.55(zero point five percent) for every seven days, odd days less than seven days should be counted as seven days. In case the Seller fails to make delivery ten weeks later than the shipment stipulated in the contract, the Buyer shall have the right to cancel the contract. The Seller, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyer without delay.
除本合同第15條所述不可抗力原因外,賣方如不能按合同規(guī)定如期交貨,并同意支付罰金,買方可同意延期交貨,付款銀行相應(yīng)減少議定的支付金額,但罰款不得超過遲交貨物總額的5%。賣方如逾期10個星期仍不能交貨,買方有權(quán)撤銷本合同。盡管合同已撤銷,但賣方仍應(yīng)如期支付上述罰金。
17. Arbitration
17、仲裁
All deputes in connection with this contract or the execution thereof shall be settled through friendly consultations. Should no settlement be reached, the case may then be submitted for arbitration to the Foreign Economic and Trade Arbitration Commission of the CCPIT in accordance with the rules and procedures of the said Arbitration Commission. The arbitration shall take place in 15 (fifteen) days. The decision of the Arbitration Commission shall be final and binding on both Parties. The arbitration fee shall be borne by the losing Party. The arbitration may also be settled in a third country mutually agreed upon by both Parties.
凡與本合同有關(guān)或因執(zhí)行本合同而發(fā)生的一切糾紛,應(yīng)通過友好協(xié)商解決,如果協(xié)商不能解決,則可提交中國國際貿(mào)易促進委員會對外經(jīng)濟貿(mào)易仲裁委員會并根據(jù)該會仲裁法則和程序進行仲裁。仲裁將在15天內(nèi)進行,仲裁裁決為最終裁決,對雙方都有約束力。仲裁費用由敗訴方承擔(dān)。仲裁也可在雙方都能接受的第三國進行。
18. Special provisions

In accordance with provisions of Contract Law of the Peoples Republic of China and Bank of China, after reviewing the status and the request of the Borrower, the Lender agrees to grant the Borrower a line of credit on . ARTICLE 1 CURRENCY, AMOUNT AND TERM OF THE LOAN:

ARTICLE 2 THE PURPOSE OF THE LOAN:
1. The purpose of this loan is used for working capital turnover.

ARTICLE 3 INTEREST RATE AND CALCULATION OF INTEREST:
1. ARTICLE 4 OVERDUE INTERESTS AND MISUSING INTERESTS

2. If the Borrower fails to uses the loan in accordance with the provisions set forth in this contract, the Lender shall have right to charge a interests for the misusing part at a rate of [***] per day.
ARTICLE 5 ACCOUNT
The Borrower shall open Reiminbi basic account and/or foreign currency account at the Lender or Lenders branch for the use of draw-down, repayment,payment of interests and fees.
ARTICLE 6 DRAW-DOWN
1. The loan under this contract is revolving, the balance of this contract shall not more than the line of credit.
2. The Borrower shall send a draw-down application as the form herein attached in this contract 7 days before the date of draw-down.
3. The Borrower shall not draw the loan less than 1 million.
ARTICLE 7 CONDITIONS FOR DRAW-DOWN
The following conditions shall be satisfied in advance of the draw-down date:
1. The Borrower has opened foreign account and Reiminbi account at the office of the Lender or the branch of the Lender;
2. This contract and the appendices have been effective;
3. The Borrower has provided the recognition of the investment or certificate of the investment to the Lender;
4. The Borrower has provided the board resolution and power of attorney regarding this loan contract;
5. The Borrower has provided the list and the signature sample of the authorized person who empower to sign this contract and documents;
6. The Guaranty under this contract has been effective;
7. The Borrower has been satisfied the warrants under Article 11 of this contract;
8. The other requirement for the draw-down have been satisfied.
ARTICLE 8 REPAYMENT PLAN AND PREPAYMENT
1. The Borrower shall repay the loan in accordance with the status of its cash. The Borrower shall inform the Lender the payment amount and date [***] prior to make the payment. The Borrower shall be obliged to repay the principal and related interests on due date without any condition.
2. The payment made by the Borrower and the deduction from the account of the Borrower shall be used for repaying the interest at first and then for repaying the principal.
3. In the event the Borrower fails to repay the loan, the Lender shall have rights to deduct the debt from the bank account of the Borrower at the Lender or empower the branches of the Lender to deduct the debt from the bank account of the Borrower at the Lenders branches;
4. The installment of repayment shall not less than 1 million.
ARTICLE 9 DEBT CERTIFICATE
The Lender shall keep record in the Lenders account for the principal,interests and fees and other fees of the Borrower under this contract; The above mentioned record and the documentation for the draw-down, repayment and payment of interest is the certificates of the debts between the Borrower and the Lender.
ARTICLE 10 GUARANTY
1. (the 'Guarantor') shall be the guarantor for the loan under this contract and t
ake jointly liabilities.
2. During the term of this contract, if the guarantors financial status become deteriorated or the liabilities for repayment of debts become weak, the Lender shall have right to request the Borrower changes guarantor orprovide mortgage and pawn secured for this loan under this contract.
ARTICLE 11 REPRESENTATIONS AND WARRANTIES
I. The Borrowers represents and warrants as follows:
1. The Borrower is a company duly organized and validly existing under the law of the Peoples Republic of China and has the power and authority to own its property to consummate the transactions contemplated in this contract and join the litigation. The Borrower has the power to handle it assets used in operation.
2. The Borrower is at its option to sign and perform this contract.It is the Borrowers true meaning and has the power to sign this contract and it is not breach it article of association or regulations or contracts. The procedure for signature and performance of this contract has been gone through and fully effectiveness.
3. The all documents, materials, reports and certificates provided to the Lender by the borrower for consummation of this contract is true, real, compete and effective
4. The Borrower shall not conceal the following events which is being happened or have been happened which will cause the Lender refuse to extend the loan:
(1) The Borrower or the principal executives of the Borrower involve in material events which breach regulations, laws or compensation to others;
(2) Pending actions and arbitration;
(3) The Borrowers debts or proposed debts or liens and other encumbrances;
(4) The other matters will impact the financial status or abilities of repayment for the debts;
(5) The Borrower breached contract which is between the Borrower and other creditors.
II. The Borrower hereby warrants as follows:
1. Using the capital of the loan as usage set forth in this contract, the Borrower will not use the loan as Equity investment; The Borrower will not use the capital of the loan invest in security, future, real estate etc. The Borrower will not lend to the others privately or involving other maters which is prohibited by the country. The Borrower will not misusing or appropriation of the loan.
2. Making payment and related expenses in accordance with the provisions set forth in this contract;
3. Providing updated financial statement or financial bulletin every quarter; Providing the audited financial report at the first quart of each year; Providing operation report, financial report or other files and materials and shall warrant the reality, correct and effectiveness for the files and materials;
4. Any anti-guaranty or other similar documents will not make any impact on the rights and benefits of the Lenders;
5. Accepting the supervision of the Lender, provides assistance and cooperation for the Lenders supervisions;
6. Will not reduce the registration capital; Prior approval from the lender shall be required when the Borrower changes of shareholders and operation manner(including but not limited to joint venture, cooperation, jointly cooperation; dissolution, closedown, liquidation, transformation; merger; change to share company, use the housing, machinery or other real assets or trademark, intellectual property, Knowhow, landing using rights or other intangible assets to invest in share company or investment company, trading of operation right or own right by co
ntracting, joint operation, trusteeship)
7. The Borrower shall inform the Lender and warrants the liability under its security will not more than net assets of the Borrower when the Borrower guarantee for other party or mortgage its assets. The Borrower warrants that will not dispose the assets which will make adverse impact on its ability of paying debts.
8. The Borrower will not pay the other similar loans prior to the Lender;
9. The Borrower warrants to inform the Lender immediately when the following events occurred:
(1) The event of breach of contract under this contract or other loan or guaranty contracts between the Borrower and any branches of Bank of China or other banks, non-bank financial organization;
(2) The Borrower changes shareholders or revise the article of association;
(3) The Borrower suffer difficulties and bad result in financial and operation;
(4) The Borrower involves in material actions or arbitration;
10. The Borrower shall keep sufficient balance for repayment prior [***] to the due date.
11. The Borrower shall keep its bank transactions regarding income collection, sell foreign currency or buy foreign currency ect. Shall be conducted at the Lender or other branches of the Lender. The turn-over for the capital shall satisfy the demand of the Lender;
III. The Borrowers representations and warrants hereunder this contract shall be effective even though any mendment, supplements or revised to be made to this contract.
ARTICLE 12 REPRESENTATIONS AND WARRANTS OF THE LENDER
I. The Lender represents and warrants as follows:
1. The Lender is a state-owned commercial bank or branch duly organized and validly existing under the law of P.R.C and approved by the Industry and Commercial Administration and holds the financial institutions legal person licenses and financial institutions operation license to be qualified to operate financial business.
2. The Lender has taken all necessary action to authorize the execution of this contract and performance of its obligations under this contract. The Lender is duly authorized to extend this loan.
II. The Lender warrants as follows:
1. The Lender shall extend the loan in accordance with the provisions set forth in this Contract.
2. Collect interests in accordance with the regulations of the Peoples Bank.
ARTICLE 13 EVENTS OF BREACH CONTRACT AND SETTLEMENT:
I. Settlement of the Borrower breach of contract
1. Event of breach of contract:
(1) The Borrower fails to use the loan in accordance with the agreed usage of the Loan;
(2) The Borrower fails to repay the due principal and pay the interests, expenses or other payable in accordance with the agreed term of this contract;
(3) The Borrower breaches the representation and warrants set forth in Article 11.
(4) The Borrower breaches other loan agreements or guaranty agreements or the Guarantor breach the guaranty agreement which may make impact the Borrower to perform the obligations under this contract.
(5) Conclusive evidence to show that the Borrower lose the capacity of credit or during performance of the obligation under this contract, the financial conditions of the Guarantor are seriously deteriorating or other reasons caused the Guarantor the capacity of credit decline.
(6) The Borrower breaches the other obligations under this contract.
2. Under the above circumstances, the Lender shall have right to:
(
1) Request the Borrower to rectify within the period designed by the Lender;
(2) Cease in extending the loan or cancel the credit;
(3) Declare the loan under this contract is due and the Lender shall have right to deduct the outstanding amount from the account of the Borrower. The Borrower shall not appeal against the Lender.
(4) Declare the loan is due under other loan agreements between the Lender and the Borrower, request the Borrower to repay the loan principals, interests, and other expenses.
II. The settlement for the Lender breach of the contract
1. The Lender fails to extend the loan as agreed in this contract without any reasons;
2. The Lender breaches the agreed interest rate and collection add interests or other fees;
3. The Lender breaches the provisions set forth in Article 12;
4. Under the above circumstances, the Borrower shall have right to:
(1) Request the Lender to rectify;
(2) Repay the loan ahead of time and refuse to pay any compensation for prepayment.
ARTICLE 14 DEDUCTION
The Borrower shall pay in full for the payment without any counteraction or any condition.
ARTICLE 15 ASSIGNMENT OF THE DEBT AND CREDIT
1. The Borrower shall not assign its right and liability under this contract to other third party without any written approval of the Lender;
2. In the event the Borrower assign its right and liability under this contract to other third party under the written consent of the Lender, the third party shall abide this contract without any condition.
ARTICLE 16 PERFORMANCE OF OBLIGATION AND WAIVER OF RIGHTS
1. The Borrower is independent contractor under this contract, it will not impact by any other relations between the Borrower with other party except the other provisions set forth in this contract.
2. The Lender give any extension, toleration, favor to the Borrower or permit the Borrower to delay of performance any obligation under this contract shall not impair any rights of the Lender in accordance with this contract and laws, regulation, it shall be deemed to have waived its rights under this contract and the obligation shall be performed by the Borrower under this contract.
ARTICLE 17 AMENDMENT, SUPPLEMENT AND INTERPRETATION OF THE CONTRACT
1. This contract could be amended and supplemented upon the written agreements conclude by the parties. Any a amendment and supplement shall be integral party of this contract.
2. In the event change of laws, regulations or legal practice which will cause any terms contained in this Contract become illegal, invalid or loss of practice, the other part of this contract shall not be impaired by it. The both parties shall make efforts to change the illegal, invalid or loss of practice part.
3. For the matters not referred in this contract shall be construed in accordance with the provisions of the Peoples Bank of China.
ARTICLE 18 DISPUTE RESOLUTION, GOVERNING LAW AND WAIVER OF EXEMPTION
1. The conclusion, interpretation and dispute resolution shall be subject to the Laws of the Peoples Republic of Chin. The disputes arising from the execution of this contract shall be settled through friendly consultation by both parties. In case no settlement can be reached, the disputes shall be submitted to the Peoples Court of the location of the Lender for judgment.
2. The Borrower shall not reject any obligation during the settlement of disputes.
3. The execution and performance o
f this contract and the related transaction is civil behavior. The Borrower shall not appeal to take action to exempt from the obligation under this contract.

1. The conclusion, interpretation and dispute resolution shall be subject to the Laws of the Peoples Republic of Chin. The dispute arising from the execution of this contract shall be settled through friendly consultation by both parties. In case no settlement can be reached, the disputes shall be submitted to China International Economic and trade arbitration commission for arbitration.
2. The arbitration shall be conducted in accordance with the Arbitration Law of Peoples Republic of China and Provisional Rules of Procedure of China international economic and trade arbitration commission.
3. During the Arbitration, this contract shall be effective and the Borrower shall not disclaim the any obligations under this contract.
4. The execution and performance of this contract and the related transaction is civil behavior. The Borrower shall not appeal to take action to exempt from the obligation under this contract.

第四條轉(zhuǎn)租
(一)除甲乙雙方另有約定以外,乙方需事先征得甲方書面同意,方可轉(zhuǎn)租給他人,并就受轉(zhuǎn)租人的行為向甲方承擔(dān)責(zé)任。
第五條合同解除
(一)經(jīng)甲乙雙方協(xié)商一致,可以解除本合同。
(二)因不可抗力導(dǎo)致本合同無法繼續(xù)履行的,本合同自行解除。

六、 甲方義務(wù) Obligations of Party A
1. 甲方須按時將房屋及附屬設(shè)施(詳見附件)交付乙方使用。

2. 房屋設(shè)施如因質(zhì)量原因、自然損耗或災(zāi)害而受到損壞,甲方有修繕并承擔(dān)相關(guān)費用的責(zé)任。
In case the premise and attached facilities are damaged by quality problems, natural damages or disasters, Party A will be responsible to repair and pay the relevant expenses.
3. 甲方應(yīng)確保出租的房屋享有出租的權(quán)利,反之如乙方權(quán)益因此遭受損害,甲方應(yīng)負賠償責(zé)任。
Party A will guarantee the lease right of the premises. Otherwise, Party A will be responsible to compensate Party B's losses.
七、 乙方義務(wù) Obligations of Party B
1. 乙方應(yīng)按合同的規(guī)定按時支付定金、租金及保證金。
Party B will pay the rental, the deposit and other expenses on time.
2. 乙方經(jīng)甲方同意,可在房屋內(nèi)添置設(shè)備。租賃期滿后,乙方將添置的設(shè)備搬走,并保證不影響房屋的完好及正常使用。
Party B may decorate the premises and add new facilities with Party A's approval. When this contract expires, Party B may take away the added facilities which are removable without changing the good conditions of the premises for normal use.
3. 未經(jīng)甲方同意,乙方不得將承租的房屋轉(zhuǎn)租或分租,并愛護使用該房屋如因乙方過失或過錯致使房屋及設(shè)施受損,乙方應(yīng)承擔(dān)賠償責(zé)任。
Party B will not transfer the lease of the premises or sublet it without Party A's approval and should take good care of the premises. Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.
4. 乙方應(yīng)按本合同規(guī)定合法使用該房屋,不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險物品。否則,如該房屋及附屬設(shè)施因此受損,乙方應(yīng)承擔(dān)全部責(zé)任。
Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. Otherwise, Party B will be responsible for the damages caused by it
5. 乙方應(yīng)承擔(dān)租賃期內(nèi)的水、電、煤氣、電訊、收視費、等一切因?qū)嶋H使用而產(chǎn)生的費用,并按單如期繳納。
Party B will bear the cost of utilities such as communications, water, electricity, gas, management fee etc. on time during the lease term.
八、 合同終止及解除的規(guī)定 Termination and dissolution of the contract
1. 乙方在租賃期滿后如需退租或續(xù)租,應(yīng)提前兩個月通知甲方,由雙方另行協(xié)商退租或續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。
Within two months before the contract expires, Party B will notify Party A if it intends to extend the leasehold. In this situation, two parties will discuss matters over the extension.
2. 租賃期滿后,乙方應(yīng)在當(dāng)天將房屋交還甲方;任何滯留物,如未取得甲方諒解,均視為放棄,任憑甲方處置,乙方?jīng)Q無異議。
When the lease term expires, Party B will return the premises and attached facilities to Party A within days. Any belongings left in it without Party A's previous understanding will be deemed to be abandoned by Party B. In this situation, Party A has the right to dispose of it and Party A will raise no objection.
3. 本合同一經(jīng)雙方簽字后立即生效;未經(jīng)雙方同意,不得任意終止,如有未盡事宜,甲、乙雙方可另行協(xié)商。

九、 違約及處理 Breach of the c

5. 乙方應(yīng)承擔(dān)租賃期內(nèi)的水、電、煤氣、電訊、收視費、等一切因?qū)嶋H使用而產(chǎn)生的費用,并按單如期繳納。
Party B will bear the cost of utilities such as communications, water, electricity, gas, management fee etc. on time during the lease term.
八、 合同終止及解除的規(guī)定 Termination and dissolution of the contract
1. 乙方在租賃期滿后如需退租或續(xù)租,應(yīng)提前兩個月通知甲方,由雙方另行協(xié)商退租或續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。
Within two months before the contract expires, Party B will notify Party A if it intends to extend the leasehold. In this situation, two parties will discuss matters over the extension.
2. 租賃期滿后,乙方應(yīng)在當(dāng)天將房屋交還甲方;任何滯留物,如未取得甲方諒解,均視為放棄,任憑甲方處置,乙方?jīng)Q無異議。
When the lease term expires, Party B will return the premises and attached facilities to Party A within days. Any belongings left in it without Party A\'s previous understanding will be deemed to be abandoned by Party B. In this situation, Party A has the right to dispose of it and Party A will raise no objection.
3. 本合同一經(jīng)雙方簽字后立即生效;未經(jīng)雙方同意,不得任意
終止,如有未盡事宜,甲、乙雙方可另行協(xié)商。
This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party\'s agreement. Anything not covered in this contract will be discussed separately by both parties
九、 違約及處理 Breach of the contract
1. 甲、乙雙方任何一方在未征得對方諒解的情況下,不履行本合同規(guī)定條款,導(dǎo)致本合同中途中止,則視為該方違約,雙方同意違約金為人民幣___________元整,若違約金不足彌補無過錯方之損失,則違約方還需就不足部分支付賠償金。
During the lease term, any party who fails to fulfill any article of this contract without the other party\'s understanding will be deemed to breach the contract. Both parties agree that the default fine will be________________. In case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.
2. 若雙方在執(zhí)行本合同或與本合同有關(guān)的事情時發(fā)生爭議,應(yīng)首先友好協(xié)商;協(xié)商不成,可向有管轄權(quán)的人民法院提訟。本合同一經(jīng)雙方簽字后立即生效;未經(jīng)雙方同意,不得任意終止,如有未盡事宜,甲、乙雙方可另行協(xié)商。
Both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. In case the agreement cannot be reached, any party may summit the dispute to the court that has the jurisdiction over the matter.
十、 其他 Miscellaneous
1. 本合同附件是本合同的有效組成部分,與本合同具有同等法律效力。
Any annex is the integral part of this contract. The annex and this contract are equally valid.
2. 本合同壹式貳份,甲、乙雙方各執(zhí)一份。
There are 2 originals of this contract. Each party will hold 1 original(s)。
